Annual general meeting
The 2013 Annual General Meeting (AGM) of Rolls-Royce Holdings plc was held at 11.00am BST on Thursday 2 May 2013 at The Queen Elizabeth II Conference Centre, Broad Sanctuary, Westminster, London SW1P 3EE. All resolutions were duly passed with votes representing 70.45 per cent of the issued share capital having been recorded. Voting on each resolution was by way of poll which ensured that all votes submitted by proxy were counted. Full details of the result of the poll can be found in the document below.

Total voting rights
As at 13 February 2013 (being the latest practicable date prior to the publication of the Notice of AGM) the issued share capital consisted of 1,872,316,766 ordinary shares of 20 pence each, 13,652,157,295 C Shares of 0.1 pence each and one Special Share of £1. At the AGM voting on the resolutions set out in the Notice will be by way of a poll. Holders of ordinary shares will be entitled to one vote for each ordinary share held. The Special Shareholder (as defined in the Articles) is entitled to receive notice of and to attend and speak at any general meeting but has no right to vote at a general meeting. C Shares do not carry the right to receive notice of any general meeting of the Company nor to attend, speak or vote at any general meeting except one at which a resolution to wind up the Company is to be considered. Therefore, the total number of voting rights in the Company as at 13 February 2013 was 1,872,316,766.

Delivery of shareholder communications by email and website is cost effective and also helps to reduce the Company’s impact on the environment. A donation of £1 will be made to the Woodland Trust for every shareholder registering their email address using the eTree™ website.
