Board governance

The Board attaches the highest priority to corporate governance, the system by which the Group is directed, managed and controlled in the interests of all its stakeholders. The strength of the group’s corporate values, its reputation and its ability to achieve its objectives are influenced by the effectiveness of its approach towards corporate governance. The Board comprises a non-Executive Chairman, a Chief Executive, three other Executive Directors and nine non-Executive Directors. Its principal committees are:

  • Remuneration committee
  • Nominations committee
  • Audit committee
  • Ethics committee
  • Risk committee
  • Safety committee

Sustainability

Sustainability matters, including health safety and the environment, are covered at main board level and at the various executive bodies. We have a robust governance structure in place to help manage specific aspects of sustainability:

  • Group Community Investment and Sponsorship Committee, Chaired by the Chief Executive Officer
  • Global Diversity Steering Group, Chaired by the Chief Operating Officer
  • Major Incident Board, Chaired by the Chief Operating Officer
  • Nuclear Propulsion Assurance Committee, Chaired by the Director Engineering
  • Sustainability Reporting Steering Group, Chaired by the Director Engineering
  • Environment Council, Chaired by the Director Engineering
  • HS&E Council, Chaired by the deputy Chief Operating Officer
  • HS&E Executive, Chaired by the Director HS&E 
  • European Works Council, Chaired by the Director of Employee Relations
  • Materials Stewardship Board, Chaired by the Director Materials
  • Environmental Advisory Board, Chaired by Professor Ian Waitz

Business ethics

The Ethics Committee was established to oversee and maintain the highest ethical standards throughout the Rolls-Royce group. The group’s Global Code of Business Ethics is available in 18 languages to all of our employees supported by a training and engagement programme to improve awareness of the group’s ethical principles.
